Tetra Tech is an organization with strong values of responsibility and
integrity. Our Code of Business Ethics and Conduct contains guidelines for conducting business with the highest standards of
ethics and outlines the standards which all of our employees are required to
uphold.
In addition to reviewing and acknowledging our Code of Business Ethics and
Conduct, all employees must complete Tetra Tech's required Ethics &
Compliance training upon joining the company and then regularly thereafter.
Employees are also required to complete training on anti-bribery and
corruption and IT cyber security training. Training is available in English,
French, Portuguese, and Spanish.

Bribery and Corruption
Bribery means giving or receiving an unearned reward to influence someone's
behavior. One common form of bribery is a "kickback" which is an unearned
reward following favorable treatment. Corruption is any unlawful or improper
behavior that seeks to gain an advantage through illegitimate means.
Facilitating payments are payments made to officials with the intention of
expediting an administrative process. Conflicts of interest are situations
in which a person is in a position to derive personal benefit from actions
or decisions made in their official capacity.
Tetra Tech's policy does not allow for corrupt practices in any form.
Bribery is an illegal, criminal offense and violates the Corporate Code of
Conduct Policy. Tetra Tech employees should avoid situations in which their
private interests or those of their family members conflict or appear to
conflict with the interests of the Company. Employees may not solicit or
accept salaries, fees, commissions or any other item of value from
contractors, suppliers, customers, consultants, or other persons and
organizations doing business with the Company. For more information on our

Tetra Tech is subject to the terms and requirements of the Foreign Corrupt
Practices Act ("FCPA"), which is part of the Securities Exchange Act of
1934, as amended. The FCPA generally prohibits payments by companies and
their representatives to foreign (i.e., non-U.S.) government and
quasi-government officials to secure business. While this policy is based on
a United States law, all employees of Tetra Tech need to be in compliance
with this policy. It is the Company's policy to comply fully with the
requirements of the FCPA.
